Terms & Conditions

By registering as a member or using the services of Verdancey Agro Pvt. Ltd. ("Verdancey", "Company", "we"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must not register or use our platform. These Terms are governed by the laws of India, including the Consumer Protection (Direct Selling) Rules, 2021, the Companies Act, 2013, and all applicable central and state laws.

To become a Verdancey member, you must: • Be a citizen of India aged 18 years or above. • Possess a valid government-issued photo ID (Aadhaar, PAN, Passport, or Voter ID). • Provide a valid bank account in your name for commission payouts. • Be sponsored by an existing active Verdancey member. • Not already hold an active Verdancey membership (one account per individual). Corporate entities, firms, and HUFs are not eligible for membership. Membership is non-transferable.

Membership becomes active upon payment of the activation amount of ₹3,300 (Rupees Three Thousand Three Hundred only), which includes an activation product package. Upon activation: • You will be assigned a unique Member ID with the prefix "VRD" (e.g., VRD100001). • Your ID will be placed in your sponsor's binary network in the position you specify (Left or Right leg). • Activation is a one-time, non-refundable fee as per applicable direct selling regulations. • TDS at 5% will be deducted on all commission payouts as per Section 194B/194R of the Income Tax Act. • An administrative charge of 10% will be applied on all withdrawal amounts.

• All product prices include GST as applicable. • Products are shipped within India. Delivery takes 5–7 business days. • Members may purchase products for personal use or for retail to end consumers. • Members must not resell products at prices higher than the Maximum Retail Price (MRP). • Bulk orders are subject to availability and approval. • Product quality concerns must be reported within 7 days of delivery.

Verdancey offers six income types as described in the Income Plan. Key terms: • **Matching Bonus**: ₹300 per matched pair, subject to a daily cap of ₹5,000 and a monthly cap of ₹1,50,000. • **Sponsor Bonus (SBI)**: Level 1 (60%) and Level 2 (60%) of matching bonus earned by direct referrals. • **Single Leg Bonus**: 60% of matching bonus from one direct leg, unlimited depth. • **Retail Profit**: 45%–50% margin on direct sales. • **Minimum Withdrawal**: ₹500. TDS and admin charges apply. • **Payout Cycle**: Closing every Saturday; payouts every Monday. Income is not guaranteed. Results depend entirely on individual effort, team-building activity, and market conditions.

All members must adhere to the following conduct standards: • Do NOT make false, exaggerated, or misleading income claims to prospects. • Do NOT claim that joining Verdancey guarantees a fixed or specific income. • Do NOT use social media, print, or digital media to misrepresent the business opportunity. • Do NOT recruit members by promising returns that are not disclosed in the official Income Plan. • Do NOT engage in pyramid selling, chain letter schemes, or any practice violating the Consumer Protection (Direct Selling) Rules, 2021. • Treat all prospects, customers, and fellow members with honesty, respect, and transparency. • Violations of this code may result in immediate account suspension and forfeiture of pending commissions.

Verdancey reserves the right to terminate or suspend a membership, with or without notice, in cases of: • Fraudulent activity or misrepresentation. • Violation of these Terms or the Code of Conduct. • Multiple active accounts. • Non-compliance with KYC requirements. • Court or regulatory directives. A member may voluntarily terminate their membership by submitting a written request. Voluntary termination does not entitle the member to a refund of the activation amount.

All branding, logos, product names, marketing materials, and website content of Verdancey Agro Pvt. Ltd. are the intellectual property of the Company. Members are granted a limited, non-exclusive, non-transferable licence to use official marketing materials solely for the purpose of promoting the business. Unauthorised reproduction or modification of brand assets is strictly prohibited.

To the maximum extent permitted by law, Verdancey shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform or membership. Our total liability in any matter shall not exceed the activation amount paid by the member.

Any dispute, claim, or controversy arising out of or relating to these Terms shall be first attempted to be resolved through mutual negotiation within 30 days of written notice. If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, conducted in the English language at Mumbai, Maharashtra. All legal proceedings, if any, shall be subject to the exclusive jurisdiction of courts in Maharashtra, India.

These Terms shall be governed by and construed in accordance with the laws of India, including but not limited to: • Consumer Protection (Direct Selling) Rules, 2021 • Companies Act, 2013 • Indian Contract Act, 1872 • Information Technology Act, 2000 • Digital Personal Data Protection Act, 2023

Verdancey reserves the right to amend these Terms at any time. Members will be notified of material changes via email or platform notification. Continued use of the platform after the effective date of any amendment constitutes acceptance of the revised Terms.
